Shin Kong Financial Holding Company Limited ("SKFH", "Shin Kong" or the "Company", TWSE: 2888) is committed to providing timely, accurate, and balanced disclosure of all material information that is reasonably required to make informed investment decisions. This Statement explains our disclosure policies and practices.
Spokespersons
SKFH appoints spokesperson and deputy spokesperson to be responsible for communication with the media, investors, and analysts based on "Corporate Governance Best-Practice Principles for Financial Holding Companies" and "Corporate Governance Best-Practice Principles for TSEC/GTSM Listed Companies". Other than the spokesperson and deputy spokesperson, the Chairman, President and Presidents of subsidiaries may also communicate with the media, investors, and analysts based on their responsibilities.
When appropriate, the Company may authorize other officers of the Company to communicate with the investment community or the media as part of the Company's investor relations or public communications program. Investor relations personnel will be present when non-primary spokespersons meet with the investment community.
Employees who are not authorized spokespersons are not to respond to inquiries from the investment community or media unless specifically asked to do so by an authorized spokesperson.
Analyst / Investor Conferences and Roadshows
SKFH will actively meet with analysts, investors and other securities market professionals in meetings, conferences and roadshows. These meetings will only discuss financial information and historical data that have been previously released to the public. Material non-public information will not be disclosed selectively to an individual or limited group. If previously undisclosed information is inadvertently disclosed to an individual or limited group, management will decide whether to publicly disclose such information through news-wire release based on materiality of the information and potential impact on the market. Topical speeches, slides and meeting presentations will be posted in a timely manner on the SKFH website.
Media Communications
In addition to conferences and roadshows, SKFH will also communicate through other channels, such as news releases, press conferences or media interviews, to keep the investment community and the public abreast of the Company's developments.
Earnings Guidance
The Company prepares medium-term business plans and releases operating targets for selective data in order to provide a good understanding of the true value of the business. The Company, however, does not issue earnings guidance and does not comment on earnings estimates or consensus earnings forecasts from securities analysts.
Analyst Models and Reports
SKFH will not review or comment on analysts' financial models and research reports, except to correct errors of historical fact/data.
Market Rumors
It is the Company's general practice not to comment on market rumors or speculation. Company spokespersons, however, may respond if a rumor is causing market volatility or if a stock exchange or securities regulator requests that the Company make a statement.
Questions to Investor Relations
SKFH's Investor Relations Department will respond to inquiries from the investment community with respect to information that is already in the public domain.
Website
The Company maintains an internet website which contains relevant information that should allow an investor to stay informed about SKFH. Information available on the website includes the Annual Report, quarterly reports, supplemental quarterly financial information, and important announcements and significant events.
The website also makes available (in live broadcast and for a subsequent period of continuing availability) audio webcast of the quarterly conference calls with analysts.
An e-mail alert system option allows investors/analysts to sign up and be automatically updated.
Blackout Period
In order to avoid any potential for, or the perception of selective disclosure, the Company observes a 'blackout period' which begins 2 weeks before the release of earnings. During this period, spokespersons will not initiate meetings or telephone contacts with analysts, investors or media and will refrain from discussing matters related to earnings and financial performance of the current quarter.
